Guide to forming your US company

A clear guide before you start: packages, steps, expected timelines, and what matters before you pay — no surprises and no inflated promises.

Who is this service for?

  • Freelancers working with international clients
  • Agency and digital-services owners
  • SaaS and digital-product founders
  • E-commerce store owners
  • Creators and educators who need a clearer legal entity for international work

If you need a respected legal entity for working with international clients or providers, this service is built for you.

Why do so many people choose a US company?

Easier access to global payment tools

A US company makes applying to Stripe, PayPal Business, and some international banking solutions easier — final approval is always up to each provider's review.

A stronger professional image

International clients are usually more comfortable working with an officially registered company with clear documents and company-name invoices.

Separating business from personal accounts

A legal entity helps you organize your work cleanly: a company name, documents, business accounts, and clearer contracts.

Better readiness to grow

If you plan to scale, hire, sell SaaS, or do serious B2B, a company abroad gives your work stronger structure.

All of this is possible from your own country, without travel, with clear follow-up from the first step to delivery.

Pricing by state

One all-in price per state, covering our service + the registered agent (year 1) + the state's government fees. You choose the state at order time.

Bank or payment setup

What happens, step by step?

1

Reviewing your case and choosing the state

We review your activity and target market and recommend the right state if you need help choosing.

2

Collecting your details

You send us the required documents and details, clearly and completely.

3

Official filing

We file the formation with the relevant government authority and track the file.

4

Core documents

We receive and prepare your formation documents and start the EIN application and IRS follow-up.

5

Bank and payments guidance

We help you prepare the right accounts for your company per the package, clarifying each provider's requirements.

6

Final delivery

You receive an organized file with the core documents, the agreed credentials, and the next steps.

We share clear updates at every step so you always know where your file stands.

What exactly do you receive?

At the end of formation you receive one organized handover file containing:

  • Articles of Organization — the official state formation document
  • The EIN confirmation letter from the IRS — your company's federal tax ID
  • The Operating Agreement — signed and ready to use with banks and payment providers
  • Your US mailing address details and how to use it
  • Registered Agent confirmation — year 1 paid
  • The agreed credentials for any accounts created as part of the service
  • Application guidance for the bank (Mercury / Relay) and Stripe / PayPal requirements, plus next steps

All of it in one organized file — not a scattered email thread.

Why trust Foundlie?

Official, transparent procedures

Formation happens through the relevant government authorities, and at every step we clarify what's done and what's next.

Privacy and organization

Your data is used only to deliver the service, and you receive one organized file instead of scattered emails and messages.

Practical follow-up

Not just paperwork. We help you understand what's needed at each stage and reduce the confusion.

A clear refund guarantee

If Foundlie fails to deliver the agreed formation service due to a fault on our side, we refund the full amount.

The guarantee does not cover rejection by a bank, payment provider, or any third party after you apply to their review.

Annual costs after formation

Registered Agent renewal: $100 per year (flat for all states)

Annual government fees by state:

  • New Mexico No fee
  • Wyoming $60/year
  • Delaware $300/year
  • Florida $139/year

Bookkeeping, filings, or any future tax obligations are not part of the formation package unless agreed separately.

Important: formation is not a one-time expense. Any legal entity abroad has renewals and follow-up that must happen on time.

What is not included in the package?

  • Monthly bookkeeping
  • US tax returns
  • VAT / Sales Tax registrations or filings
  • Annual reports or extra compliance not explicitly listed in the package
  • Trademark registration
  • Advanced legal contracts beyond what the package lists
  • Guaranteed final approval from Stripe, PayPal, Wise, Mercury, or Relay

If you need an extra service after formation, we'll tell you whether we offer it, and it is priced separately.

Important notes about banks and payment providers

  • Final approval at any bank or payment provider follows its own review policy at application time
  • Your activity type, residence country, website, and how you present your business all affect approval
  • Some high-risk or unclear activities can be rejected even when the company itself was formed successfully
  • Proof of address, a website, a review call, or extra documents are sometimes requested
  • Provider policies change over time, so we always work with what is best and available at execution time

Plainly: we prepare you very well to apply, but nobody can guarantee final approval from an independent reviewer.

Stripe and bank account support

Every formation package includes free support for opening Stripe and a business bank account. Depending on your case, some situations need specialized work that we offer as a separate paid service:

1

Free support included

We guide you to the right options (Mercury / Relay / Stripe), clarify the requirements, and prepare you to apply correctly — at no extra charge within the formation package.

2

Assessing your case

Your company type, business activity, nationality, residence, and how your business is presented all determine whether the free support is enough or your case needs extra work.

3

Paid service when needed

If your case needs specialized work, execution, and close follow-up, we offer it as a separate paid service priced after the assessment — there is no flat price because every case genuinely differs.

To be clear: there is no outcome guarantee — with the free support or the paid service. The final decision sits with Stripe or the bank after their independent review. What we guarantee is correct preparation and submission work — not a third party's approval.

The paid service is not purchasable online — it is arranged after formation over WhatsApp once we assess your case.

You do NOT need an "aged" US company to activate Stripe

A common claim says Stripe only accepts old or "aged" companies — that is inaccurate:

  • Stripe does not require a minimum company age. A newly, correctly formed company with an EIN, clear documents, and a real well-presented activity is the legitimate, normal path to activation.
  • Buying a ready-made "aged" company from someone else can bring real problems: unknown old liabilities, ownership records that must be transferred and updated, and extra risk in the banks' own reviews.
  • What actually matters for approval: the clarity of your activity, your website or how you present your service, and your documents — not the company's formation date.

If someone is selling you an "aged company so Stripe accepts you", first ask what is behind it.

Add-on services after formation

After your company is formed, there are extra services you may need depending on your activity. These are not part of the formation package and not purchasable at checkout — they are priced per case and arranged over WhatsApp:

Stripe / bank activation assistance

Specialized work, execution, and follow-up for your case when the included free support isn't enough (no outcome guarantee — details above)

ITIN

Obtaining a personal taxpayer ID for non-residents when required

Bookkeeping

Bookkeeping and organizing the company accounts

Available after formation — ask about them on WhatsApp and we'll tell you whether they fit your case; pricing follows the assessment.

After delivery: your responsibilities

  • Keep credentials and documents somewhere safe
  • Pay renewals and recurring fees on time
  • Respond to any KYC or review requests from the bank or payment provider
  • Update company details if activity, owners, or address change
  • Follow up on tax or accounting obligations with a specialist if your activity requires it

Cases that can delay your file

  • The proposed name is rejected or taken
  • Missing or unclear documents
  • Name or detail mismatches between documents
  • IRS delays reviewing the EIN
  • Extra review from a bank or payment provider
  • An activity that needs more clarification or documents

Frequently asked questions

Is the service legal?

We provide formation through the relevant official authorities and prepare the required documents; your future obligations after formation remain yours per your activity and company standing.

Are Stripe or PayPal guaranteed?
